General terms and conditions of sale for online purchases on the LE SILLA OUTLET website.

The products available on https://www.outlet.lesilla.com (hereinafter the “Website”) are sold and invoiced by SICAP S.r.l. (hereinafter “Sicap”), with registered office at Via San Crispino, 37 - 63821 Porto Sant'Elpidio (FM), Italy, Tax Code and VAT no. 01537730440, registered with the Companies Register of Ascoli Piceno no. 153833 on 10/11/1997, as the owner of the Website.

These general terms and conditions of sale (the “General Conditions”) are governed by the Italian Consumer Code (Legislative Decree no. 206/2005), Section II Distance Contracts (Articles 50–67), and by the regulations on electronic commerce (Legislative Decree no. 70/2003).

1. GENERAL CONDITIONS

In the event of changes to the General Conditions, the version published on the Website at the time the order is submitted by the customer (the “Customer”), defined as a natural person making a purchase for purposes not related to any commercial, entrepreneurial, or professional activity, shall apply.

 

2. OFFER TO THE PUBLIC

The products and related prices displayed on the Website constitute an offer to the public in accordance with the terms set out herein and on the Website.

Purchase agreements concluded on the Website are entered into with Sicap S.r.l.

By placing an order, the Customer declares that they have read all the information provided during the purchase process and fully accept these General Conditions.

 

3. PRICES

All prices displayed on the Website include VAT for Italy and the EU and any delivery costs, if in charge of the Customer, are clearly indicated at the time of the order.

The applicable price is the one displayed on the Website at the time of order completion, regardless of any subsequent or prior price changes.

 

4. PRODUCTS

The products offered for sale are those available on the Website at the time the order is placed, as described in the relevant product sheets.

Images are provided for illustrative purposes only and may not perfectly represent the product (e.g. color or size differences due to browser or screen settings).

 

5. ORDER

The order is correctly completed if no error message is displayed.

The contract is considered concluded when Sicap receives the order. A confirmation email will be sent, including selected items, prices, order number, and any shipping costs.

The Customer must verify the accuracy of the data and promptly notify Sicap of any corrections. Any additional costs due to unreported errors will be borne by the Customer.

Product availability is not guaranteed; if items are unavailable, the Customer will be informed promptly.

 

6. DELIVERY OF PRODUCTS AND RELATED COSTS

6.1 The purchased products will be delivered to the address indicated by the Customer in the Order within 2-5 working days from the acceptance of the Order by Sicap, at the cost specifically indicated on the Website before the Order is submitted. In any case, for deliveries outside Italy, shipping costs and delivery times may vary.

6.2 For deliveries requested to countries outside the European Union, any import customs duties are charged to the recipient. The Customer is advised to contact the relevant customs authorities in advance in order to verify costs and any import restrictions.

6.3 Delivery times indicated by Sicap are to be considered purely indicative. Any delay with respect to such times, or any delivery carried out through multiple partial shipments, shall not entitle the Customer to refuse delivery or to claim compensation or indemnity.

6.4 Upon delivery of the products, the Customer is required to verify:

      that the number of packages delivered corresponds to what is indicated in the transport document;

      that the packaging is intact, not damaged, nor wet or otherwise altered, including the sealing materials (adhesive tape or metal straps).

Any damage to the packaging and/or the product, or any discrepancy in the number of packages or indications, must be immediately reported by making a specific note on the delivery document to be returned to the courier.

Any issues concerning the physical integrity, correspondence, or completeness of the products received must be reported within 7 (seven) days from delivery, in accordance with the procedures set out in this document.

 

7. PRIVACY

Personal data collected through the submission of an order will be processed by Sicap solely for the purpose of fulfilling the Customer’s specific requests, in compliance with Regulation (EU) 2016/679 and the privacy policy available on the Website.

Any further processing shall be carried out only with the Customer’s explicit consent.

 

8. PAYMENT METHODS

The following payment methods are accepted on the Website:

      Credit Card (Visa, Mastercard, American Express, Maestro, UnionPay, iDeal)

      PayPal (Visa, Mastercard, American Express, Maestro, Diners Club, Discover)

      Klarna (service available in countries where provided)

      Apple Pay

      Google Pay

      Bank Cards

      Bank Transfers

Cash on delivery is not available.

In the case of payment by credit card or other electronic payment methods, the transaction may be processed through the secure Shopify Payments system or through other payment providers used on the Website.

At no point during the purchase process is Sicap S.r.l. able to access the Customer’s credit card information, which is transmitted via a secure connection directly to the payment service provider.

Such data are not stored in any way on Sicap S.r.l.’s IT systems; therefore, the company cannot be held responsible for any fraudulent or improper use of the payment cards by third parties.

In the case of payment by bank transfer, the necessary details to make the payment will be provided to the Customer during the purchase process.

The shipment of the goods will only take place after the amount has been effectively credited to the indicated bank account. Until that moment, the order will remain pending and will not be processed.

If the payment is unsuccessful, the Customer may attempt the payment process again using a valid or different payment method. In the event of further difficulties, the Customer may contact the Customer Care service for assistance.

 

9. RETURNS AND RIGHT OF WITHDRAWAL

If the Customer is a consumer (i.e., a natural person who purchases the goods for purposes not related to their professional activity, or does not provide Sicap with a VAT number), they are entitled to the rights provided under Art. 52 of the Consumer Code (Legislative Decree No. 206/2005, as amended by Legislative Decree 21/2014), within the limits set by such legislation, and therefore have the right to withdraw from the purchase contract for any reason, without explanation or penalty, according to the following procedures.

The right of return is exercised by submitting a return request using the Form available in the “Returns Policy” section within 14 working days from the date of receipt of the products.

Following the withdrawal request, Customer Care will provide the Customer with operational instructions to proceed with the return of the product, including any indications regarding the courier to use and the shipping method.

The Customer must ship the products within 14 (fourteen) days from the withdrawal communication.

The economic and operational conditions relating to returns (including any shipping costs, free returns, limitations for discounted or promotional products, or any special conditions applied in specific countries) may vary depending on the commercial policies in force at the time of purchase.

In case of discrepancies, the conditions published on the Website at the time of purchase shall prevail.

The right of withdrawal cannot be exercised for products made to Order or Customized, or which by their nature cannot be returned or are at risk of rapid deterioration or alteration.

The withdrawal communication must specify the intention to withdraw from the purchase and the product(s) for which the right of withdrawal is exercised, referring to the order reference.

The right of withdrawal is subject to the following conditions:

      The right applies to individual products purchased in their entirety; it is not possible to exercise the withdrawal only on part of the purchased product (e.g., accessories, complements, etc.);

      The purchased product must be intact and returned in its original packaging, complete in all parts (including packaging and any accessory documentation);

      The return shipment is carried out under the responsibility of the Customer, except in cases where the shipment is organized directly by Sicap according to the methods indicated by Customer Care.

Sicap will refund the amount paid by the Customer for the returned product, net of any additional shipping costs pursuant to Art. 56, paragraph 2, of Legislative Decree 21/2014, within 14 (fourteen) days from the withdrawal communication, using the same payment method used by the Customer for the initial transaction, unless otherwise agreed between the parties.

Sicap may suspend the refund until the returned product is received or until the Customer proves that the product has been correctly shipped.

The Customer will lose the right of withdrawal in the following cases:

      The product is not intact or has been used;

      The returned product and/or its accessories and/or packaging are not intact;

      The product is missing the original external packaging and/or internal packaging;

      The product is missing integral elements and/or accessories (e.g., closures, laces, buckles, etc.).

In the event of forfeiture of the right of withdrawal, Sicap will return the purchased product to the sender, charging the shipping costs and, if already refunded, the product price.

 

10. BUYER’S OBLIGATIONS

The consumer undertakes, once the online purchase procedure is concluded, to print and retain these general conditions, which they have already viewed and accepted as a mandatory step in the purchase, as well as the product specifications, in order to fully satisfy the requirements of Legislative Decree No. 206/2005.

The buyer is strictly prohibited from entering false, invented, or fictitious data during the registration procedure necessary to activate the execution of this contract and any related communications; personal data and e-mail address must be their real data and not of third parties or fictitious.

Double registrations corresponding to a single person or the insertion of third-party data are expressly prohibited. Sicap reserves the right to take legal action against any violations or abuse in the interest and protection of all consumers.

 

11. WARRANTY

11.1 All products sold by Sicap are covered by a 24 (twenty-four) month warranty for defects of conformity, pursuant to Title III of Legislative Decree 206/2005. To obtain warranty assistance, the Customer must keep the invoice or proof of payment, together with the delivery document.

11.2 The warranty for defects of conformity applies provided that the product has been used correctly, in accordance with its intended use and the instructions for use and care available on the Website and/or with the product.

11.3 If, for any reason, Sicap is unable to provide the Customer with a product under warranty (repaired or replaced), or if repair or replacement is excessively costly in relation to the product’s value, Sicap may proceed with a proportional price reduction or the full refund of the amount paid with termination of the contract.

 

11.4 In cases where the application of the warranty requires the return of the product, the Customer must return it in its original packaging, complete in all parts (including packaging and any accessory documentation).

13. JURISDICTION AND COMPETENT COURT

Any dispute relating to the application, execution, interpretation, or violation of purchase contracts concluded online via www.lesilla.com

 is subject to Italian jurisdiction; these general conditions refer, for matters not expressly provided, to Legislative Decree No. 206/2005.

For any disputes between the parties regarding contracts concluded on the Website, the competent court will be that of the consumer’s residence or chosen domicile.

For all others, the competent court is Fermo, Italy.

Any disputes will be resolved before the competent judicial authority in accordance with the applicable law.

 

14. COPYRIGHT

Trademarks, logos, and other distinctive signs present on the Website belong to their respective owners. The use of trademarks, logos, and other distinctive signs, including reproduction on other websites by unauthorized third parties, is prohibited. The Website’s contents are protected by copyright (texts, images, and graphics).

15. AGREEMENT

This contract replaces all previous contracts, agreements, and understandings between the parties and constitutes the entire agreement regarding the subject of the contract, together with the order, the general conditions regarding the use of the Website, and the conditions relating to the registration service. Any changes or modifications to the contract must be accepted in writing by both parties.

 

16. LANGUAGE

The sales contract is drafted in five versions, which are available in Italian and English. In case of discrepancies in translation, the Italian version shall prevail.
